Software License Agreement​

This Software License Agreement (“Agreement”) is a legally binding agreement between you, whether an individual or an entity (“You” or “Licensee”), and xf-addons (“xf-addons,” “We,” “Us,” or “Our”) governing Your use of any software purchased from xf-addons (“Software”) and any related services.

By purchasing, downloading, installing, or using the Software, You acknowledge that You have read, understood, and agree to be bound by this Agreement. If You do not agree, do not install or use the Software.

xf-addons reserves the right to modify this Agreement at any time. Continued use of the Software after any modification constitutes acceptance of the revised terms.

1. Grant and Scope of License​

Subject to Your compliance with this Agreement and payment of applicable fees, xf-addons grants You a limited, non-exclusive, non-transferable, worldwide license to install and use one (1) instance of the Software on one (1) website or URL (“License”).

Each License is limited to a single production installation. You may maintain one (1) additional test or staging installation, provided it is password-protected and accessible only to You and Your authorized staff.

You must maintain accurate and current URL registration information in the xf-addons store. Any attempt to circumvent licensing restrictions may result in immediate revocation of the License without refund.

2. Activation and Site Registration​

Certain Software requires activation prior to download. Before downloading, You must provide the site name and URL at which the Software will be installed (“Registered Site”).

You agree that:

• Each License is valid for one (1) Registered Site and one (1) password-protected test or staging site.
• The Registered Site information must be accurate and kept up to date in Your account.
• You may not use the Software on any site other than the Registered Site without purchasing an additional License.
• Any attempt to conceal, misrepresent, or bypass site registration requirements is prohibited.

xf-addons reserves the right to suspend or revoke access to downloads, updates, and support if a License is used on unregistered or unauthorized sites.

3. Ownership and Intellectual Property​

The Software is licensed, not sold. xf-addons retains all right, title, and interest in and to the Software, including all intellectual property rights.

You acquire no ownership rights in the Software. All proprietary notices, copyright notices, and trademarks must remain intact and unmodified unless expressly authorized in writing by xf-addons.

4. Restrictions​

You may not:

• Redistribute, sell, sublicense, rent, lease, assign, transfer, or otherwise make the Software available to any third party
• Reverse engineer, decompile, or disassemble the Software, except where prohibited by law
• Use the Software in a manner that violates any law, regulation, or third-party rights

You are solely responsible for all content and activity generated through the Software (“Your Content”). xf-addons has no liability for Your Content.

You agree to indemnify xf-addons for any claims arising from Your use of the Software or Your Content.

5. Term and Termination​

This License is effective until terminated.

You may terminate this Agreement at any time by uninstalling and destroying all copies of the Software.

xf-addons may terminate or revoke Your License immediately upon breach of this Agreement, without refund.

6. Customer Account and Credentials​

You must provide accurate and current contact information. You are responsible for maintaining the confidentiality of Your account credentials and for all activity under Your account.

7. Support and Updates​

Support and software updates are included for twelve (12) months from the date of purchase (“Initial Period”). Continued access requires payment of an extension fee.

xf-addons does not guarantee that all reported issues will be resolved immediately or individually; fixes may be included in future updates.

8. Optional Extras and Add-ons​

Optional add-ons (“Extras”) may require additional fees and conditions.

Extras are tied to the associated License and may not be transferred independently. If an Extra is canceled or refunded, You must uninstall and delete it immediately.

Support and updates for Extras require an active License support term.

9. Disclaimer of Warranties​

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You acknowledge that the Software may contain bugs or errors and that xf-addons does not warrant uninterrupted or error-free operation.

Nothing in this Agreement limits statutory consumer rights where applicable.

10. Limitation of Liability​

To the maximum extent permitted by law, xf-addons’ total liability shall not exceed the amount You paid for the Software.

xf-addons shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, profits, or business interruption.

Nothing in this Agreement limits liability for fraud, willful misconduct, or personal injury caused by negligence.

11. Indemnification​

You agree to indemnify, defend, and hold harmless xf-addons and its officers, employees, and agents from all claims, damages, and expenses arising from Your use of the Software or violation of this Agreement.

This obligation survives termination.

12. Refund Policy​

Refunds are offered at xf-addons’ sole discretion. Once the Software is downloaded or installed, refunds may be refused or partially granted, and an administrative fee may apply.

13. Exceptions​

Any exceptions to this Agreement must be agreed in writing by xf-addons.

14. Governing Law and Jurisdiction​

This Agreement is governed by the laws of the United States, without regard to conflict-of-law principles. Any disputes shall be subject to the jurisdiction of the courts of the United States.

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
